Service Agreement


Lead Outsource Development Inc.

This Service Agreement (“Agreement”) is entered into as of , by and between:

Lead Outsource Development Inc., a duly registered corporation (“Vendor”),
and

US Power Supply, represented by James Bouldin (“Client”).

Vendor and Client may be referred to individually as a “Party” and collectively as the “Parties.”

1. Purpose of Agreement

Client engages Vendor to provide dedicated call center and virtual assistant services, and Vendor agrees to provide such services in accordance with the terms and conditions set forth herein.

2. Term & Termination

2.1 Initial Term

This Agreement shall commence on the Effective Date and shall remain in effect for an initial minimum term of Ninety (90) days (“Initial Term”).

2.2 Ongoing Term

Following the Initial Term, this Agreement shall continue on a month-to-month basis, unless terminated by either Party with seven (7) business days’ written notice prior to the next billing cycle.

2.3 Effect of Termination

All outstanding invoices and accrued charges shall remain payable upon termination. No refunds shall be issued for prepaid services already rendered or in progress.

3. Scope of Services

3.1 Staffing

Vendor shall provide fifteen (15) dedicated full-time call center representatives (“Agents”).

Each Agent shall work up to forty (40) hours per week

Vendor requires approximately fifteen (15) calendar days lead time from execution of this Agreement to recruit, onboard, and prepare the Agents

3.2 Agent Qualifications

All Agents shall meet the following minimum requirements:

Graduate of a four-year accredited university

Fluent English language skills with a neutral accent

Proficient in internet usage, email, CRM platforms, and Windows-based applications

4. Pricing & Payment

4.1 Fees

Rate: USD $6.00 per hour per Agent

Fees are based on actual hours worked

4.2 Billing

Client shall prepay for services prior to campaign launch

Vendor shall provide weekly time and performance reports

All recruitment, setup, and onboarding fees are waived

4.3 Additional Staffing

Additional Agents may be added with one (1) week written notice, subject to availability and mutual agreement.

5. Training & Campaign Preparation

5.1 Client Responsibilities

Client shall provide:

Scripts, campaign instructions, and compliance requirements

Product knowledge and training materials

Reasonable availability for feedback during ramp-up

5.2 Vendor Responsibilities

Vendor shall provide:

Agent orientation and code of conduct training

Systems and process onboarding

Classroom and hands-on campaign training

Quality assurance, coaching, and performance monitoring

Vendor shall work collaboratively with Client to refine scripts and improve campaign performance.

6. Launch & Operations

Campaign launch date shall be mutually agreed upon

Target launch date: March 2, subject to:

Fully executed Agreement

Receipt of initial payment

Delivery of scripts and campaign materials

Clients may communicate directly with Agents for day-to-day operational matters. Performance management, reporting, and escalations shall be handled by Vendor management.

7. Confidentiality

Each Party agrees to maintain the confidentiality of all non-public, proprietary, or confidential information disclosed during the term of this Agreement.

Confidential Information shall not include information that:

Is publicly available through no breach of this Agreement

Was lawfully obtained from a third party

Was already known without obligation of confidentiality

These obligations shall survive termination of this Agreement.

8. Non-Solicitation

Client agrees not to directly or indirectly solicit, hire, or engage Vendor’s employees during the term of this Agreement and for a reasonable period thereafter, except through Vendor.

9. Limitation of Liability

To the maximum extent permitted by law, neither Party shall be liable for indirect, incidental, special, or consequential damages, including loss of profits or business.

Total liability of either Party shall not exceed the amount paid by Client to Vendor during the one (1) month preceding the event giving rise to the claim.

10. Amendments

This Agreement may only be amended by a written document signed by authorized representatives of both Parties, including any addendums provided by Client.

11. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. Notices

All notices under this Agreement shall be made in writing and delivered via email to the designated representatives of each Party.

Schedule: Full-time (up to 40 hours/week)
